Good morning, Investors.
A lithium producer just upsized a bond by 25%, a Peruvian copper developer landed a C$30.1 million cheque from Hudbay, and a Red Lake gold producer lined up up to US$95 million in new debt. Here is what changed overnight.
Quick Takeaways
Short on time? Here is the week in three lines.
Sigma Lithium (TSXV: SGML): US$125 million convertible bond priced, upsized 25%, with a 7.00% fixed coupon replacing an 11.45% floating rate.
Pecoy Copper (TSXV: PCU): C$49.8 million raised at C$2.02 per share, with Hudbay contributing C$30.1 million.
West Red Lake Gold (TSXV: WRLG): Binding term sheet for up to US$95 million from Centalion's Gunvor, plus a 100% gold offtake.
The News: Sigma Lithium (NASDAQ: SGML, TSXV: SGML) priced a US$125 million five year senior unsecured convertible bond due 2031, upsized 25% from US$100 million. Proceeds will fully repay its Synergy Capital secured debt.
Why It Matters: The 7.00% fixed coupon replaces an 11.45% floating rate, and the company says short term debt falls by about 80%. The US$6.51 conversion price is a 25% premium to the November 2 Nasdaq close of US$5.21.
Outlook: Closing is expected on or about November 16, subject to TSX Venture Exchange approval. Conversion is blocked for 12 months, with an investor put in about November 2029.
The News: Pecoy Copper (TSXV: PCU) signed subscription agreements with Hudbay Minerals (TSX, NYSE: HBM) and a second strategic investor for about 24.7 million shares at C$2.02. Hudbay takes C$30.1 million of the C$49.8 million.
Why It Matters: The price is a 10% premium to the 10 day VWAP, and each investor will hold about 9.99%. Hudbay also gets a board nomination right and top up rights, while proceeds fund drilling and the planned resource update in southern Peru.
Outlook: Closing is expected on or about November 5, subject to TSXV acceptance. No date has been given for the resource update.
The News: West Red Lake Gold (TSXV: WRLG) signed a binding term sheet with Gunvor USA, a Centalion subsidiary, for a proposed facility of up to US$95 million, split into US$65 million and US$30 million tranches. Gunvor would also buy 100% of the gold doré produced.
Why It Matters: It would refinance Nebari debt at one month SOFR plus 5.50%, with a nine month principal holiday on the first tranche. Security is a first lien on Madsen and Rowan.
Outlook: Funding is not guaranteed, as closing depends on due diligence, definitive agreements and approvals. No closing date has been given.
